Restock — Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Restock US LLC, a Wyoming limited liability company doing business as "Restock" ("Restock," "we," "us," or "our"), with a principal office at 1712 Pioneer Avenue, Suite 101, Cheyenne, WY 82001. They govern your access to and use of the Restock website at usrestock.com, our mobile applications, and related services (together, the "Service").

PLEASE READ SECTION 17 (DISPUTE RESOLUTION; ARBITRATION; CLASS-ACTION WAIVER) CAREFULLY. IT REQUIRES MOST DISPUTES TO BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS.

By creating an account, subscribing, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Who may use the Service (eligibility)

You must be at least 18 years old and able to form a binding contract to create an account or purchase a subscription. A Family plan account holder may add household members who are at least 13 years old; members aged 13–17 may use the Service only under the account holder's supervision and with the account holder's consent, and the account holder is responsible for their use. The Service is not directed to and may not be used by children under 13. You must provide accurate registration information and keep it current.

2. Your account and security

You are responsible for your account credentials and for all activity under your account. Enable available security features (such as two-factor authentication) and notify us promptly at security@usrestock.com of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that create risk for the Service or other users.

3. What Restock does (and does not do)

Restock helps you decide meals, track what you have on hand, build shopping lists, compare prices across nearby stores, discover community-shared deals, and — where available — shop or arrange delivery. Restock is a technology platform, not a grocery store, retailer, or delivery provider. Prices, availability, product information, and deals come from third-party stores, third-party data providers, and other users, and may be estimates or may be out of date. We do not guarantee that any price, discount, product detail, or deal is accurate, current, available, or verified, even where labeled "verified" by the community. Always confirm price and availability at the point of purchase. Your purchases from and deliveries by third parties are governed by those third parties' own terms.

4. Subscriptions, billing, and auto-renewal

Some features (including OCR fridge/pantry scanning and the in-store scanner) require a paid membership. Current plans are Individual — $3.99 per month and Family — $5.99 per month, plus any applicable taxes. Prices may change on a going-forward basis with notice as required by law.

• Auto-renewal. Paid memberships automatically renew at the end of each billing period at the then-current price until you cancel. By subscribing, you authorize us and our payment processor to charge your payment method on a recurring basis. See our separate Subscription & Auto-Renewal Terms for the required disclosures.
• Cancellation. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period, and you retain access until then.
• Refunds. All charges are nonrefundable except where required by law; canceling stops future renewals but does not refund the current billing period. [Proposed default — confirm with counsel.]
• Free trials. If we offer a free trial, unless you cancel before it ends, it converts to a paid membership and your payment method is charged the then-current price.
• Payments are processed by Stripe; you agree to Stripe's terms. We do not store full payment card numbers.

Membership does not include any delivery fees, store charges, or product costs, which are separate.

5. Family plan and anti-sharing

A Family plan is for a single household at one address, for up to 3 adults and 6 minors aged 13–18. Accounts may not be shared outside your household, sold, or transferred. We may use reasonable signals to detect and prevent sharing and may downgrade, suspend, or terminate accounts that violate this section.

6. Referral program

If we offer referrals, referral rewards and their terms (for example, a referrer credit and a referee discount) are described at the point of participation and may be changed or ended at any time. Referrals are single-level only — this is not a multi-level or "pyramid" program. Rewards have no cash value except as required by law, may expire, and may be revoked for fraud, self-referral, or abuse.

7. Community content, deals, and rewards

The Service includes community features where users submit prices, receipts, photos, and deals. Your use of those features is also governed by our Community Guidelines & Contributor Terms, which are incorporated here by reference and include the license you grant us in your submissions, our right to moderate or remove content, and the tax and no-employment terms for any rewards. Deals and prices posted by other users are their content, not ours; we do not endorse or guarantee them.

8. Acceptable use

You agree not to: violate any law or third party's rights; submit false, misleading, or fraudulent prices, receipts, or deals; scrape, reverse engineer, overload, or interfere with the Service; bypass security, rate limits, bot protection, or metering; use bots or automated means without our permission; upload malware; harvest other users' data; or use the Service to infringe intellectual property or to harass others. We may investigate and take action, including removing content, suspending accounts, and cooperating with authorities.

9. Third-party services and stores

The Service integrates with third parties (for example, grocery data providers, mapping/geolocation, payment processing, and delivery services such as Uber and DoorDash). We are not responsible for third-party services, their content, availability, pricing, or acts or omissions, and your dealings with them are at your own risk and subject to their terms.

10. Intellectual property; your content

The Service, including its software, design, and content we provide, is owned by Restock or its licensor(s) (including Lumis, Inc.) and protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for your personal, non-commercial use. You retain ownership of content you submit, but grant us the license described in the Community Guidelines & Contributor Terms. You may not copy, modify, distribute, sell, or create derivative works from the Service except as permitted.

11. Feedback

If you send us ideas or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.

12. Notifications and communications

By using the Service you agree to receive service and transactional communications (for example, security codes, receipts, order and delivery updates, and alerts you configure). Marketing email and text messages are optional and require your separate opt-in; text messaging is also governed by our SMS Terms. You can opt out of marketing at any time; you cannot opt out of essential transactional messages while you maintain an account.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any price, product, deal, savings, nutrition, or availability information is accurate, complete, current, or reliable. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Restock AND ITS AFFILIATES, MANAGERS, MEMBERS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR SAVINGS, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US$100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

15. Indemnification

You will defend, indemnify, and hold harmless Restock and its affiliates from claims, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms or any law or third-party right.

16. Termination

You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without notice, including for violation of these Terms. Sections that by their nature should survive (including 3, 7, 10–19) survive termination.

17. Dispute resolution; binding arbitration; class-action waiver

Please read this section carefully. Except for claims that qualify for small-claims court and requests for injunctive relief for intellectual-property misuse, you and Restock agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its consumer rules [confirm administrator and consumer-rules citation with counsel], rather than in court. The arbitration will be held in [Cheyenne, Wyoming, or the county of your residence — confirm], or by video/telephone where available. You and Restock waive any right to a jury trial and to participate in a class, collective, or representative action. [Consider a 30-day right to opt out of arbitration; confirm consumer-arbitration cost-shifting and venue provisions with counsel to ensure enforceability.] If this section is found unenforceable, the balance of these Terms still applies, and any court action will proceed under Section 18.

18. Governing law; venue

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws rules. Subject to Section 17, the exclusive venue for any permitted court action is the state or federal courts located in Laramie County, Wyoming. [Confirm enforceability against out-of-state consumers with counsel.]

19. Changes to these Terms

We may update these Terms. If changes are material, we will provide notice (for example, by email or in-app) and, where required, ask you to re-accept before continuing. The "Effective date" shows the current version. Your continued use after an update means you accept the updated Terms.

20. Miscellaneous

These Terms, the Privacy Policy, and the documents incorporated by reference are the entire agreement between you and us regarding the Service. If any provision is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate or successor. Notices to you may be given in-app or by email; notices to us go to legal@usrestock.com and the mailing address above.
